HALIFAX, October 1, 2021 – NOVA LEAP HEALTH CORP. (TSXV: NLH) (“Nova Leap” or “the Company”), a growing home health care organization, is pleased to announce that the Company issued Deferred Share Units (“DSUs”).

A total of  62,424 DSUs were issued to independent directors of the Company as settlement for the directors’ compensation for the three months ended September 30, 2021.  On an annual basis, directors may elect to have all, or a portion of, their annual compensation to be paid in DSUs.  The DSUs were granted under, and are subject to the terms and conditions of, the Company’s Amended and Restated Equity Incentive Plan.

Nova Leap Health Corp. Announces Execution of Definitive Agreement to Acquire Home Care Business in Oklahoma

HALIFAX, August 4, 2021 – NOVA LEAP HEALTH CORP. (TSXV: NLH) (“Nova Leap” or “the Company”), a home health care organization ranked #2 on the 2020 Report on Business ranking of Canada’s Top Growing Companies, is pleased to announce that it has executed a definitive agreement (the “Agreement”), dated August 3, 2021, to acquire a home care services company (“the Target”) located in Oklahoma. The Target reported unaudited revenues of approximately $2.3 million for the 2020 calendar year.  All amounts are in United States Dollars (“USD”) unless otherwise specified.

Under the terms of the Agreement, the acquisition is to be made for total consideration of $1.1 million of which $800,000 is payable with cash on closing and $300,000 is by way of a promissory note repayable over a two-year period.

The acquisition is expected to be immediately accretive, is at arm’s length and there are no finder fees to be paid.  Closing of the acquisition is subject to lender approval and state licensing.

Nova Leap Health Corp. to Force Conversion of 8% Convertible Debentures due January 16, 2025

HALIFAX, June 30, 2021 – NOVA LEAP HEALTH CORP. (TSXV: NLH) (“Nova Leap” or “the Company”), a home health care organization ranked #2 on the 2020 Report on Business ranking of Canada’s Top Growing Companies, is pleased to announce that it has provided notice to holders of the Company’s 8.0% unsecured subordinated convertible debentures due January 16, 2025 with a principal amount of CAD$215,000 (the “Debentures”) that Nova Leap will be exercising its option to convert the entire principal amount of Debentures outstanding into common shares of the Company (“Common Shares”) at a conversion price of CAD$0.52 (the “Forced Conversion”).  Earlier in June, CAD$541,000 of the debentures due January 16, 2025 were voluntarily converted at a conversion price of CAD$0.52.    

Pursuant to the terms of the Debentures, if, at any time after the first anniversary of the issue date of the Debentures, the daily volume weighted average price of the Common Shares on the TSX Venture Exchange exceeds CAD$0.78 for 20 consecutive trading days, the Company may elect to exercise its right of Forced Conversion. The Forced Conversion is expected to be completed on or about August 3, 2021. Accrued and unpaid interest under the Debentures to the conversion date will be paid to the holders in accordance with the Debentures.

Nova Leap Health Corp. Closes CAD$5.5 Million Oversubscribed Non-Brokered Private Placement

HALIFAX, June 11, 2021 – NOVA LEAP HEALTH CORP. (TSXV: NLH) (“Nova Leap” or the “Company”), a home health care organization ranked #2 on the 2020 Report on Business ranking of Canada’s Top Growing Companies, is pleased to announce it closed its non-brokered private placement, previously announced on May 31, 2021 and June 3, 2021 (the “Offering”), through the issuance of 7,638,888 common shares (the “Common Shares”) for gross proceeds of CAD$5,499,999.36 on June 11, 2021.

The Common Shares issued pursuant to the Offering are subject to a hold period until October 12, 2021. Insiders of the Company subscribed for an aggregate of 323,112 Common Shares. The Company’s material change report in relation to the insiders’ participation in the Offering will not have been filed at least 21 days before the closing of the Offering as participation was not known at that time.  The Company paid cash finder’s fees of CAD$129,009.59 which was equal to 6.0% of the gross proceeds of the Offering raised through certain brokers. 

The proceeds from the Offering will be used for acquisition and expansion purposes.
